Agility3 OpenDRIVE Validator - Terms of Use

These Terms of Use (“Terms”) govern your use of our OpenDRIVE Validator web application (the “Service”), provided by Agility3 (“we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. ASAM Attribution

OpenDRIVE® is a standard managed and published by ASAM e.V.

This Service is an independent tool that analyses files against aspects of the OpenDRIVE specification. The Service is not affiliated with, endorsed by, or certified by ASAM.

2. About the Service (Beta)

The Service analyses OpenDRIVE files (currently limited to OpenDRIVE version 1.6), generates diagnostic reports, identifies issues, and may offer automated fixes. The Service is provided as a beta and may contain errors, incomplete checks, or inaccuracies. You understand and agree that:

· Output is for informational purposes only;

· You remain responsible for validating all results;

· We do not guarantee compatibility with any third‑party simulation platforms.

3. Your Content and Uploads

You retain all rights in the OpenDRIVE files and other data you upload (“User Content”).

By uploading User Content, you confirm that:

· you have the rights and permissions needed to upload it;

· it does not contain confidential, proprietary, or personal data unless you are legally permitted to share it;

· uploading it does not violate third‑party rights or laws.

3.1. Licence You Grant to Us

You grant us a non‑exclusive, worldwide, royalty‑free licence to:

· use, process, store, reproduce, and analyze User Content to operate the Service; and

· use User Content for our internal research and development, including improving our tools and processes.

We will not disclose your User Content to third parties except:

· to subprocessors acting on our behalf under confidentiality;

· where required by law; or

· with your explicit consent.

If you want to opt out of R&D use for specific uploads, contact us before using the Service.

4. Output

The Service may generate reports, suggested fixes, and other results (“Output”).

Subject to these Terms, we grant you a non‑exclusive, royalty‑free licence to use the Output for your internal business purposes.

You are solely responsible for verifying the accuracy, suitability, and safety of any Output before using it in your systems, simulations, or workflows.

5. Marketing Communications

If you provide us with contact details, you consent to receive emails or messages about:

· updates to the Service, and

· related products and services.

You may opt out at any time by contacting us.

6. Acceptable Use

You agree not to:

· use the Service for illegal purposes;

· upload malware or harmful content;

· attempt to gain unauthorised access to systems or data;

· interfere with or disrupt the Service;

· upload content you do not have rights to;

· use the Service in safety‑critical contexts without thorough independent validation;

· bypass or attempt to bypass access controls, rate limits, or security features.

6.1. No Reverse Engineering

You must not, and must not permit any third party to:

· reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, rule sets, or internal logic of the Service,

· except to the limited extent (if any) expressly permitted by applicable law and only after giving us prior written notice.

7. Intellectual Property

We own all rights in the Service, including its software, interfaces, algorithms, auto‑fix logic, documentation, and infrastructure.

Except for rights explicitly granted in these Terms, no rights are transferred to you.

8. Privacy

We process personal data in accordance with our Privacy Notice.

This explains:

· what data we collect;

· how we use it (including for marketing where permitted);

· retention periods;

· your data protection rights.

9. No Confidentiality

You must not upload confidential or commercially sensitive information.

We do not accept any confidentiality obligations with respect to User Content unless agreed in a separate written contract.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, we disclaim all express, implied, and statutory warranties, including fitness for purpose, accuracy, or non‑infringement.

We make no warranty that:

· the Service or Output will be error‑free or suitable for your specific use;

· any issue will be identified or corrected;

· any auto‑fix will resolve a problem;

· the Service will produce simulation‑ready files.

11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for:

· indirect, incidental, special, or consequential damages;

· loss of data, profits, revenue, or goodwill;

· any damages arising from use of or reliance on User Content, Output, or the Service.

Our total liability is limited to £100 or the amount you paid for the Service in the previous 12 months (if any), whichever is greater.

Nothing excludes liability that cannot be excluded by law (e.g., for fraud or death/personal injury caused by negligence).

12. Indemnity

You will indemnify and hold us harmless from any claims, losses, or costs arising from:

· your User Content;

· your breach of these Terms;

· your misuse of the Service or Output.

13. Changes, Suspension, and Termination

We may modify these Terms, change the Service, discontinue features, or suspend access at any time. Your continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that mandatory consumer rights may apply in your jurisdiction.
